What the law asks for
Section 206 of the New York Limited Liability Company Law requires a new LLC to publish notice of its formation once a week for six consecutive weeks, in two newspapers designated by the clerk of the county named in its articles — one daily, one weekly. The newspapers then issue affidavits of publication, which are filed with the Department of State along with a certificate of publication.
An LLC that does not complete it within 120 days may have its authority to carry on business in New York suspended. The suspension does not dissolve the company or remove the liability shield, but it is exactly the kind of thing that surfaces in due diligence at the worst moment.
Why the cost varies so much
The county clerk designates the papers, and the papers set their own rates. Publishing in New York County costs many times what the same six weeks cost in an upstate county, which is why the county in your articles is worth thinking about before you file rather than after.
What we do
We place the notices with the designated papers, collect the affidavits, prepare and file the certificate of publication, and put the whole thing in your portal when it is done. If you would rather handle it yourself, we will still track the 120-day deadline and remind you before it runs out.
Questions people ask
How long do I have to publish a New York LLC?
120 days from the date the articles of organization are filed. The six weeks of publication have to finish and the certificate has to be filed inside that window.
What happens if I never publish?
The Department of State may suspend the LLC’s authority to carry on business in New York. It can be cured by publishing late and filing the certificate, and the LLC continues to exist in the meantime — but a suspended authority will be found by anyone who looks.
Do foreign LLCs registering in New York have to publish too?
Yes. An LLC formed elsewhere that registers to do business in New York has the same publication requirement, running from the filing of its application for authority.

Business licenses in New York
New York does not issue a general state business licence. What it issues is a series of separate registrations, and which of them apply depends on your trade and your county.

Annual reports
Most entities lose good standing for the same reason: a report nobody remembered was due, in a state nobody was watching.
