What we track, and how
Every state sets its own cycle. Some ask annually, New York asks every two years, and the due date might be the anniversary of formation, a fixed calendar date, or the end of the entity’s fiscal quarter. Getting that right for one entity is easy. Getting it right for forty across nine states is why people hand it to us.
Your portal shows every upcoming deadline across the whole portfolio, with the ones already overdue at the top. We remind you ahead of each, file when you say so, or file automatically if you would rather set it once and stop thinking about it.
What happens if one is missed
The state charges a late fee, then marks the entity delinquent, then — after long enough — administratively dissolves it. A dissolved entity can usually be reinstated, but reinstatement costs more than the report did and there is a period in between when the company technically does not exist, which is a poor thing to discover during a closing.
Questions people ask
What is an annual report for an LLC?
A short filing that confirms the entity’s current details with the state — address, registered agent, sometimes its members or officers — usually with a fee attached. It is not a financial statement and it is not a tax return.
What happens if I file an annual report late?
A late fee first, then loss of good standing, then administrative dissolution if it goes unfiled long enough. A dissolved entity cannot get a certificate of good standing, which is usually how people find out.
Can you file automatically every year?
Yes. Auto-filing can be switched on for a whole company or for individual entities, and applies to entities you add later if you want it to. You are invoiced when it is filed, not before.

Certificate of good standing
A one-page letter from the state saying your entity exists, has filed what it owes and has paid what it owes. Banks, lenders and other states ask for it constantly.
Registered agent
Every state requires an entity to name someone to receive legal papers. What matters is not the name on the filing — it is how fast what arrives reaches you.
LLC formation
You tell us the name, the state and who is behind it. We prepare the articles, file them with the state, and put the deadlines that follow on a calendar you can see.
